About Commerzbank
Commerzbank AG is a German universal bank headquartered in Frankfurt am Main, founded in 1870, listed on the Frankfurt Stock Exchange (DAX constituent; ISIN DE000CBK1001) and supervised under the European Banking Union’s Single Supervisory Mechanism. The group focuses on two core segments: Private and Small-Business Customers in Germany—where it offers current accounts, payments, savings, mortgages, consumer lending, brokerage and wealth services, including through the integrated comdirect franchise—and Corporate Clients, covering German Mittelstand and larger corporates with cash management, trade finance, lending, markets and capital-markets-related services; it also consolidates a majority stake in Poland’s mBank S.A. The distribution model combines a reduced domestic branch network with digital channels and mobile apps; international coverage is maintained through representative offices and hubs in Europe, the U.S., and Asia to support trade and transaction banking. Profitability has benefited from higher net interest income and cost measures since 2022, while risk costs remain sensitive to the German and Polish economies; the bank has resumed shareholder distributions subject to regulatory clearance. Capital and liquidity indicators are broadly in line with large EU peers (CET1 ratio in the mid-teens and a low single-digit NPL ratio in recent reporting), and the bank issues MREL-eligible instruments as part of its resolution planning. The Federal Republic of Germany retains a significant minority stake (roughly mid-teens percentage) dating from the financial crisis. Key structural and cyclical risks include exposure to German SMEs and commercial real estate, credit migration in a weaker macro environment, litigation and legacy issues at mBank related to Swiss-franc mortgages, and execution risks from ongoing IT and process simplification. Governance is anchored by a Management Board led by CEO Manfred Knof and a Supervisory Board chaired by Jens Weidmann.
